Important Legal Notice: This disclaimer constitutes a legally binding electronic contract under the Information Technology Act, 2000, and the rules framed thereunder. By downloading, accessing, registering on, or completing the digital onboarding sequence on the Servouz App and Servouz Partner App ("Partner App"), you enter into a legally binding agreement with Happiness Quotient Events Private Limited, operating under the brand name "Servouz" (hereinafter referred to as "Servouz", the "Platform", the "Company", "we", "our", or "us"), governing your independent contractor assignments and use of the Platform.
The policy is subject to changes without any prior notices and will be updated in the system.
Customers (HORECA & Individuals)
1. Scope of Marketplace Services & Intermediary Status
Institutional Capacity & Eligibility
The "Hotel" warrants it is a legally registered entity in India with active GST registration. The account operator possesses full authority to bind the Hotel to these terms.
Intermediary Marketplace Facilitation
Servouz operates as a B2B ecosystem. We act strictly as an Intermediary under Section 79 of the IT Act, 2000. No employee-employer or joint-venture relationship is created between Servouz, the Hotel, or the Service Partners.
2. Non-Circumvention & Anti-Poaching Covenant
For 12 months post-introduction, the Hotel is strictly prohibited from hiring or engaging Service Partners outside the Servouz platform. Breaches of this covenant will trigger damages equal to the higher of ₹1,50,000 per partner or the platform revenue attributable to that partner for the preceding 12 months.
3. Shift Booking & The Absolute Emergency Lock-In Rule
Bookings must be confirmed 3 hours prior to the shift. Within this 3-hour window, cancellations are strictly prohibited ("Absolute Lock-In"). Waivers are only granted for verifiable Force Majeure events at the sole discretion of Servouz. Unapproved cancellations may incur charges up to 100% of the booking value.
4. Financial Terms & Settlement
Servouz operates a centralized clearinghouse model. Prepaid accounts must settle at booking; Postpaid enterprise clients must settle invoices within the specified window. Overdue payments accrue interest at 1.5% per month and may result in immediate service suspension.
5. Total Allocation of Risk & Indemnity
The Hotel maintains full control over its premises and is responsible for all liability, guest safety, and property insurance. The Hotel agrees to indemnify and hold harmless Servouz and its partners (Zolvify) against all claims, injuries, or inventory losses occurring on-site.
6. Account Suspension & Vetting
Servouz reserves the right to terminate dashboard access without notice for repeated safety violations, fraudulent bookings, or late payments.
7. Intellectual Property
All platform software, workflows, and branding are the exclusive property of Servouz. No ownership rights are granted to the Hotel Client.
8. Electronic Consent
Under the IT Act, 2000, all digital actions—including OTP verification and button clicks—constitute a legally enforceable agreement equivalent to a physical, signed contract.
PARTNERS
1. Independent Contractor Status
Servouz provides a marketplace for independent specialists. There is no employer-employee, principal-agent, or joint-venture relationship. Partners remain responsible for their own taxes and legal compliance. You retain full autonomy to accept or decline any booking.
2. Onboarding & Background Verification (BGV)
To activate your profile, you must provide valid documentation, including PAN, [Aadhaar Redacted], medical fitness certificates, and bank details. By accepting these terms, you consent to background checks, which may include criminal or employment history verifications.
3. Shift Lock-In & Emergency Protocol
Confirmed bookings enter a "Lock-In State." Cancellations within 3 hours of a shift are prohibited. Exceptions are made only for verifiable Force Majeure events (e.g., medical trauma) documented to the Support Channel. No-shows or unverified cancellations result in penalties or account deactivation.
4. Financial Tracking & Payouts
Earnings are tracked via the Partner App wallet. Payouts are processed monthly after deducting applicable Platform Fees, statutory adjustments, and offsets. Fees may be modified by Servouz at its business discretion.
5. Non-Circumvention Enforcement
Partners are strictly prohibited from accepting direct, off-platform shifts from any client introduced via Servouz for 12 months. Violation of this covenant results in immediate, permanent account deactivation and potential recovery of damages.
6. Document Fraud Prevention
Any submission of forged, altered, or fraudulent identity records or medical certifications triggers an irreversible lifetime ban. Suspected fraud may result in a hold on pending payouts pending investigation.
7. Dispute Resolution & Arbitration
Disputes shall be settled through good-faith negotiation. If unresolved within 30 days, matters will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue in Delhi, India.
